Airrosti Rehab Centers, LLC and its affiliates (collectively “Airrosti”) have pages on social media sites for publicly viewing content and/or videos and posting comments about Airrosti. These social media sites, that are used by and associated with Airrosti, include, but are not limited to, bulletin boards, blogs, networks, instant messenger sites, multi-media sites, or other user generated content sites (“Airrosti Social Media Sites”). By accessing, viewing and/or posting any content related to Airrosti on any Airrosti Social Media Site on the internet, you accept the following terms of this Social Media Policy (the “Policy”). If you do not agree to the terms of this Policy, you may not view or post any content to any Airrosti Social Media Site. Your use of Airrosti Social Media Sites is acceptance of this Policy and has the same effect as if you had physically signed an agreement with Airrosti. You must be at least 18 years old to post any content on any Airrosti Social Media Site. If you are an Airrosti employee you must adhere to the Airrosti Social Media Policy found in the Airrosti Team Member Handbook.
General Compliance Requirements
As a guest posting content to any Airrosti Social Media Site on the internet, you agree that you will not: (i) violate any local, state, federal and international laws and regulations, including but not limited to copyright and intellectual property rights laws regarding any content that you send or receive via this Policy; (ii) transmit, upload, post, email or otherwise send any material that is unlawful, disruptive, threatening, profane, abusive, harassing, embarrassing, tortious, defamatory, obscene, libelous, or is an invasion of another’s privacy, is hateful or racially, ethnically or otherwise objectionable as solely determined in Airrosti’s discretion; (iii) impersonate any person or entity or misrepresent your affiliation with a person or entity; (iv) transmit any material that you do not have a right to make available under any law or under contractual or fiduciary relationships; (v) transmit any material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; (vi) transmit any unsolicited or unauthorized advertising (including advertising of non Airrosti services or products), promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes” or any other form of solicitation; (vii) transmit any material that contains software viruses, worms, disabling code, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (viii) harass another; (ix) collect or store, or attempt to collect or store, personal data or protected health information about third parties without their knowledge or consent; or (x) share confidential pricing information of any party.
Posting Limits
You are discouraged from posting any content that is sensitive information, personal identifiable information or protected health information including patient or medical information on any Airrosti Social Media Site. You are also discouraged from using the Airrosti Social Media Site to provide or receive chiropractic, medical or healthcare advice.
You may not provide any content to an Airrosti Social Media Site that contains any content that may be construed as political lobbying, solicitations or contributions or use the Airrosti Social Media Site to (i) link to any sites, political candidates or parties, (ii) discuss political campaigns or issues, or (iii) take a position on any legislation or law.
Airrosti’s Rights
Airrosti reserves the right to monitor, prohibit, restrict, block, suspend, terminate, delete, or discontinue your access to any Airrosti Social Media Site without notice. Airrosti may remove, delete, block, filter or restrict any of your materials or contacts in Airrosti’s sole discretion. You understand and agree that Airrosti may disclose your communications and activities with Airrosti in response to requests by governmental authorities, including Patriot Act requests, judicial orders, warrants or subpoenas, or for the protection of Airrosti rights. You agree that Airrosti shall have no liability to you in the event that Airrosti exercises any of its rights hereunder.
By posting any content on any Airrosti Social Media Site, you grant to Airrosti the irrevocable right to reproduce, distribute, publish, display such content and the right to create derivative works from your content, edit or amend such content and use such content for any Airrosti purpose.
Indemnification
You shall defend, indemnify, and hold harmless Airrosti and its affiliates and their respective officers, owners, directors, employees, contractors, agents, successors and assigns from and against, any and all losses, claims, damages, settlements, costs, and liabilities of any nature whatsoever (including reasonable attorneys’ fees) to which any of them may become subject arising out of, or in any way connected with, your posting of any content to an Airrosti Social Media Site, any third party claims of infringement or any breach of this Policy.
Assumption of Risk and Limits on Liability
You expressly acknowledge that you assume all responsibility related to the security, privacy, and confidentiality risks inherent in sending any content over the unsecure internet. You acknowledge and agree that Airrosti is not responsible or liable for any messages sent by Airrosti via an Airrosti Social Media Site that are not received by you, or received by a party other than you.
By its very nature, a website, the Internet, and any communications, including instant messenger, via these Airrosti Social Media Sites are not encrypted and not secure and cannot be absolutely protected against intentional or malicious intrusion or interception attempts. Airrosti does not control the third party sites and the Internet over which you may choose to send confidential information, including protected health information or other content. Therefore, Airrosti does not warrant and safeguard against any such interceptions or compromises to your information.
When posting any content on an internet site, you should think carefully about your own privacy in disclosing detailed or private information about yourself and any others. It is recommended that you password protect and enable encryption on your mobile device(s), though this does not encrypt messages in transit, nor does it prevent messages from appearing on most mobile devices even when the devices are locked.
Governing Law and Jurisdiction
You agree that any claim or dispute relating to this Policy or your posting of any content on an Airrosti Social Media Site shall be construed in accordance with the laws of the State of Texas without regard to its conflict of laws provisions. You agree to be bound by, and shall be subject to the exclusive jurisdiction of, the local, state or federal courts located in Bexar County, Texas.
Amendment of Policy
This Policy may be amended at any time without notice, and the new policy will be effective upon posting.
Acknowledgment and Consent
By posting on any Airrosti Social Media Site you agree to these terms. By continuing to send messages to, or respond to communications from, Airrosti via these Airrosti Social Media Sites you acknowledge that you are aware of the risks and consent to communicating via these Airrosti Social Media Sites.
